Terms and Conditions for Use of CitySipper

1  Acceptance: The Use of CitySipper, Terms and Conditions

Your access to and use of the CitySipper website (“Web Site” or “City Sipper”) is subject exclusively to these Terms and Conditions. You will not use the Web Site for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Website you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Web Site.

2  User Age

Because CitySipper provides information regarding alcoholic beverages, including beer, wine and spirits, CitySipper is not intended for users under 21 years of age. To subscribe, you are required to confirm that you are at least 21 years of age at the time you subscribe by checking the acknowledgment check box which states, “I’ve poured over and fully accept the Terms & Conditions and Privacy Policy and confirm I am at least 21 years old.”

3  Parental Permission

This Web Site is not intended as a children’s site or a site for minors or individuals under the age of 21, therefore, some of the available information may concern certain topics that may not be appropriate for children/minors or individuals not of legal drinking age. By accepting these terms and conditions, you confirm that you are at least 21 years of age.

 4  User Conduct

This Web Site and any communications service, including the capability to contribute material through the comment form (each such submission, a “Comment”) or other interactive service that may be available to you on or through this site (collectively, the “Services”) are provided to you solely for entertainment purposes. By using the Web Site and Services you agree: (a) to provide true, accurate, current and complete information about yourself as prompted by the subscription form, Comment form and any registration form. If any information provided by you is untrue, inaccurate, not current or incomplete, City Sipper reserves the right to terminate your subscription and refuse any and all current or future use of the Services.

Without limitation of the foregoing, you agree to not use the Web Site or Services to:

  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any information, data, text, music, sound, photographs, graphics, video, messages or other materials, including any Comment, (collectively, “Content”), that is unlawful, harmful, threatening, embarrassing, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, deceptive, fraudulent, contains explicit or graphic descriptions or accounts of sexual acts, invasive of another’s privacy, or hateful;
  • “Stalk” another;
  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any Content that victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

  • Impersonate any person or entity, including, but not limited to, a CitySipper official, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted to or through the Web Site;
  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “Spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
  • Upload, post, publish, e-mail, reproduce, distribute or otherwise transmit any material that contains software viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment or any other similarly destructive activity, or surreptitiously intercept or expropriate any system, data or personal information;
  • Act in a manner that negatively affects other users’ ability to engage in the Web Site or Services;
  • Engage in any activity that is contrary to or which would adversely affect the purpose or intention of the Web Site or Services, including but not limited to, actually or attempting to manipulate, corrupt or otherwise affect the outcome of the Services, in whole or part, by, among other methods, subscribing another party without their authorization or registering multiple subscriptions under the same or different names;
  • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; or
  • Intentionally or unintentionally violate any applicable local, state, national or international law.

You also agree that you will not harvest, collect or store information about the users of this Web Site or the Content posted by others on this Web Site or use such information for any purpose inconsistent with the purpose of this Web Site or for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic mail or communications.

You acknowledge that CitySipper is not responsible for material submitted to CitySipper or posted to the Web Site by users. CitySipper does not pre-screen, monitor, review or edit the Content posted by users. However, CitySipper and its designees have the right (but not the obligation) at their sole discretion to refuse or remove any Content, in whole or part, that, in CitySipper’s judgment, does not comply with these Terms and Conditions or is otherwise undesirable, inappropriate or inaccurate. CitySipper is not responsible for any failure, non-failure or delay in removing such Content. You will remain responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of such submitted material, including any Contribution or part thereof, or other communication to CitySipper. You agree to immediately notify CitySipper of any unauthorized use of the Service or any other breach of security known or suspected by you.

You acknowledge and agree that CitySipper may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms and Conditions; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of CitySipper, its users or the public.

You understand that the technical processing and transmission of the Web Site, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. CitySipper assumes no responsibility for the deletion or failure to store postings, Contributions or other information submitted by you or other users to CitySipper.com.

Any or all Content on the Web Site may be purged periodically in CitySipper’s sole discretion. You acknowledge and agree that Content you view, submit or post is at your own discretion and risk, including any reliance on the accuracy, completeness, or usefulness of such Content. You acknowledge that you may not rely on any information, data, text, music, sound, photographs, graphics, video, messages or other materials created by CitySipper or submitted to CitySipper, including Content. You further acknowledge and agree that the views expressed on the Web Site do not necessarily reflect the views of CitySipper, and CitySipper does not support or endorse Content (including any Contribution, whether or not edited by CitySipper or its designee or presented on the Web Site edited or unedited, in whole or in part, or alone or with other content) posted or submitted by you or any User.

5  Credit card details

CitySipper will never ask for Credit Card details and request that you do not enter it on any of the forms on CitySipper.

6  Advice

The contents of CitySipper website do not constitute advice and should not be relied upon in making or refraining from making, any decision.

7  Change of Use

CitySipper reserves the right to:
 7.1  change or remove (temporarily or permanently) the Website or any part of it without notice and you confirm that CitySipper shall not be liable to you for any such change or removal and.
7.2  change these Terms and Conditions at any time, and your continued use of the Website following any changes shall be deemed to be your acceptance of such change.

8  Links to Third Party Websites

CitySipper Website may include links to third party websites that are controlled and maintained by others. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any such sites.

9  Copyright

9.1  All copyright, trade marks and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website) are owned by or licensed to CitySipper or otherwise used by CitySipper as permitted by law.
9.2  In accessing the Website you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Website for personal, non-commercial home use only.

10  Disclaimers and Limitation of Liability

10.1  The Website is provided on an AS IS and AS AVAILABLE basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
10.2  To the extent permitted by law, CitySipper will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website.
10.3  CitySipper makes no warranty that the functionality of the Website will be uninterrupted or error free, that defects will be corrected or that the Website or the server that makes it available are free of viruses or anything else which may be harmful or destructive.
10.4  Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of CitySipper for death or personal injury as a result of the negligence of CitySipper or that of its employees or agents.

We are committed to protecting your privacy and security and have explained in detail the steps we take to do so. We urge you to read our privacy policy.

12  Indemnity

You agree to indemnify and hold CitySipper and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against CitySipper arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.

13 Severance

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

14  Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the law of USA and you hereby submit to the exclusive jurisdiction of the USA courts.
